Взаимосвязь характеристик совета директоров, ESG и корпоративной эффективности: систематический обзор

Аннотация
В данной статье приведен систематизированный обзор актуальных работ, посвященных исследованию влияния характеристик Совета директоров на внедрение принципов и практик ESG в деятельность компаний с точки зрения агентской, ресурсной, стейкхолдерской теорий, теории «критической массы». Автором выявлены наиболее часто исследуемые параметры Совета директоров и характеристики, изученность которых в контексте ESG недостаточна. Так, если параметр независимости Совета директоров включается в большинство работ и в целом рассматривается как положительный фактор за счет усиления мониторинговой функции Совета, то по вопросу размера Совета директоров в академической литературе не существует консенсуса: с одной стороны, с ростом Совета директоров повышается разнообразие профессионального опыта и представленность интересов различных стейкхолдеров, с другой стороны, усложняются процессы принятия решений и мониторинга. Анализ указывает на важность повышения представленности директоров-женщин и иностранных директоров, способствующих внедрению принципов ESG за счет их уникальной экспертизы. Значительно больше разногласий существует относительно роли CEO в Совете директоров: большинство исследователей указывают на возникновение риска агентского конфликта, сдерживающего переход к ESG, хотя ряд исследователей отмечают, что при определенных условиях организационная власть CEO, наоборот, может способствовать более быстрой реализации принятых Советом директоров решений. Одним из таких условий является наличие диверсифицированной экспертизы директоров. Наконец, отмечается рост интереса исследователей к изучению роли комитетов Совета директоров во внедрении практик ESG, при этом основное внимание уделяется комитетам по устойчивому развитию, в то время как другие комитеты рассматриваются значительно реже. Проведенный обзор позволил выявить ключевые тенденции, а также перспективные вопросы для изучения в области влияния корпоративного управления на ESG. Кроме того, проведенный обзор может быть полезен практикам бизнеса в условиях трансформации корпоративного управления.
